Exclusions from Warranty
iWave’s warranty does not apply to defects arising from:
- Improper handling, unauthorized modifications, or interventions by the customer or a third party.
- Incorrect installation performed by the customer or any third party acting on their behalf.
- Compatibility and functioning with other products, unless expressly warranted.
- External factors that impact product performance.
- Suitability of the product for a specific purpose, unless expressly stated.
- Third-party components, where warranty coverage falls under the respective manufacturer.
- Sample units and evaluation kits, which are not covered under warranty.
- Services not performed in compliance with provided instructions.
- Accessories such as batteries, antennas, adapters, and cables.
Limitation of Liability
iWave shall not be liable for any consequential, incidental, special, or exemplary damages incurred by the customer or any end user arising from this agreement, the transactions contemplated herein, or the use or inability to use the products. This includes, but is not limited to, integration issues with non-iWave equipment, loss of goodwill or profits, or any other cause, even if iWave has been advised of the possibility of such damages. Under no circumstances shall iWave’s total liability for any claim or dispute related to this agreement exceed the total amount received from the customer for the respective product or service in the past 12 months.
iWave and the buyer agree that any provision in this agreement that limits liability, disclaims warranties, or excludes damages shall be separable from all other provisions. Each of these provisions represents a distinct element of risk assignment between the parties and should be enforced independently.
Both Parties acknowledge that the pricing of iWave products reflects the risk allocation, warranty, and limitation of liability provisions set forth in this Agreement. The products sold under this Agreement are not designed or intended for use in medical, life-saving, or life-sustaining applications, where product failure could lead to personal injury or death. If the buyer purchases or utilizes iWave products for any such unintended applications, the buyer agrees to indemnify and hold harmless iWave, along with its directors, officers, subcontractors, and affiliates, from any claims, costs, damages, expenses, or attorney fees arising directly or indirectly from product liability, personal injury, or death, unless otherwise agreed to in writing by iWave. This indemnification remains applicable even if the claim involves allegations of negligence on the part of iWave or its subcontractors in the design or manufacture of the product or any of its components.
